Terms of Service & End-User License

These terms govern your use of SomaCortex — the website, the application at app.somacortex.ai, and the connectors we operate for you, including the Soma Ledger Connector for QuickBooks Online. By using the service you agree to them on behalf of yourself and the organization you represent.

1. The service

SomaCortex provides an AI advisory council, an operating memory for your business, and finance tools that read from systems you connect. We grant you a limited, non-exclusive, non-transferable license to use the service for your organization's internal business purposes for as long as your subscription is active.

2. Your account and content

You are responsible for the accuracy of what you enter, for keeping your credentials secure, and for the people you invite. You own your content and your business data. You grant us the rights needed to store, process, and display it to you and your team, and to run AI features on it for your benefit.

3. Connected systems

When you connect a third-party system such as QuickBooks Online, you confirm you are authorized to grant that access. Your use of the third-party system remains subject to its own terms. You can disconnect at any time; we then stop reading from it.

4. AI output

Council analyses, Augie responses, drafts, and financial reports are generated with AI and from data you supplied. They are decision support, not professional advice. Review them before you rely on them — especially anything you file, sign, pay, or send. We are not a law firm, accounting firm, or financial adviser.

5. Acceptable use

Do not use the service to break the law, infringe others' rights, probe or disrupt our systems, or process data you have no right to process. We may suspend access that threatens the service or other customers.

6. Fees

Subscription fees, billing cycle, and any usage-based charges are set out in your order or in-product. Fees are non-refundable except where the law requires otherwise.

7. Confidentiality and security

We treat your business data as confidential and protect it as described in our Privacy Policy. You agree to keep non-public information about the service confidential.

8. Warranty and liability

The service is provided "as is". To the fullest extent permitted by law we disclaim implied warranties, and our total liability for any claim is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect or consequential damages.

9. Term and termination

Either party may end the subscription per the order terms. On termination you may export your data for 30 days, after which we may delete it. Sections 4, 7, 8 and 10 survive termination.

10. General

These terms are governed by the laws of the Commonwealth of Virginia, USA. If a provision is unenforceable the rest remains in effect.
